BancorpSouth, Inc. Declares Quarterly Dividend

At a regular quarterly meeting on January 28, 2009, the Board of Directors of BancorpSouth, Inc. declared a quarterly cash dividend of $0.22 per common share. The dividend is payable April 1, 2009 to shareholders of record at the close of business on March 13, 2009.

BancorpSouth recently reported fourth quarter 2008 earnings of $16.8 million or $.20 per diluted share and fiscal and calendar year earnings of $120.4 million or $1.45 per diluted share.

BancorpSouth, Inc., with total assets of approximately $13.5 billion, operates banking, insurance and financial service offices in Alabama, Arkansas, Florida, Mississippi, Missouri, Tennessee, Texas and Louisiana.
